Based on our review of the company's website promotional materials and other miscellaneous information we have serious concerns about the nature of the company's guaranteed 12% return on investment offer. Pursuant to our concerns we asked the company provide us with additional materials and contracts for our review. While the company did provide us with a copy if the promissory note it uses it would not provide a contract which would generally describe the specific investment any security interest the investor would hold who controls it and any disbursement schedules. Based on what we have received it appears that their offer is an unsecured loan in the form of a promissory note to the company for a one-year period at 12% interest. However we believe that the 12% interest as stated is misleading. The note states that interest will be paid based on the maximum rate allowable in California or 12% whichever is less. This rate fluctuates and as of October 2004 this rate is far less than 12%. We believe that this investment offer may require registration as a security with the California Department of Corporations. As of October 13 2004 we could find no evidence of registration. To verify registration with the Department of Corporations call 866-275-2677 or visit their website at www.corp.ca.gov. Keep in mind that the promise to pay is only as good as the person or entity making the promise. As with any investment offer we suggest you seek legal counsel or the advice of an experienced financial counselor or accountant. Investigate the borrower to determine their credit worthiness and ability to repay your investment.
