We urge extreme caution with this company’s offer~~This company advertises an 11% return on investment as a private lender. Overland promotes a $30 000 000 offering requiring a $25 000 minimum investment. The company gives investors a promissory note with a 36 month term and a 9% interest rate. The notes are described as being secured but in our opinion they are unsecured. ~~The company literature states that they intend to make loans secured by first and second deeds of trust or mortgages on real property. The promissory notes they’re offering are not secured by trust deeds. While the offering claims to secure the notes with all of the company’s assets this would be generally insufficient to constitute any kind of security interest. Legally any security must be described with specificity meaning that a reader should be able to determine the exact collateral given for security. Overland’s description does not in our opinion meet this criteria. For this and other reasons we believe their offer is misleading. ~~Further caution is warranted because of the company’s acknowledgment that they are a start-up company with no revenue earnings funds or assets. They state that they were formed with equity capitalization of only $50 000.
