We signed up for a US College Tennis Scouting agency from Spain on 12 Nov to get scholarship for STEM designated BS Computer Science program.  The agency set up interviews with tennis coaches of 3 Universities one per month in the last 3 months First 2 didn't materialize but the last was with budget. We reiterated the agency representative about our expectations on academics in the university and she said Computer Science at the university is good. We said yes to the proposal and, even as the paperwork had not started, our due diligence with a current student, past student, former teacher of the college revealed that the college didn't meet our expectations on academics as it had only 1 teacher in CS department. The agency had touted not asking for advance payment as it's USP in the business soliciting email and they even went to the extent of saying that we can have a verbal agreement but need not paying till a contract with the college was signed. We said no in 6 days (2 days weekend) after due diligence but they say that we committed and so we need to pay even if we are not interested in the college for them to look for another college. They say that we can only exit the contract by paying €3000, the total fee and the first payment is €2000. There is an exclusivity clause which says that we should inform them if we find a college that meets our expectations ourselves or through others. They have quoted Spain as the jurisdiction for any litigation. I wrote giving details of Resolution Sought As they could arrange only 3 interviews in several months, we don't want to waste time with them and spoil our chances. We want to exit now, but as the contract that doesn't have a timeline mentioned doesn't allow us to exit without paying the total contract value, we want them to continue searching for a college that meets our expectations in the next 1 month after which we would like to exit without paying any cost.

Hello I am Ignacio the attorney of Global College USA and this situation is easy to understand. The family has a contract signed (Which I can send you) with my client and they decided Voluntarily to make a commitment with a university, as you know in USA commitment is like pen on paper which of course the other coach committed to them and said other players the spot was filled so he lost other players interested due to this decision. As he made a commitment the payment had to be done in that time of 2000 euros. Now he decided to de-committ from the university which my client is not forcing him to keep the commitment (even though this cause damage to my client and affect the reuputation) but as he did the commitment already and the contract says he has to pay when the commitment is done, he has to pay the 2000 euros, actually he had to pay some time ago already. My client is not saying he will not continue helping him but they will continue helping him once the payment they have to do by contract is done. The one here breaking the contract is this person and the one who doesn't want to pay is your client so my client doesn't trust him anymore after showing he doesn't want to pay what he has to do and what he has signed in a contract, so my client will not continue working without receiving the money he had to pay. We have pictures and conversations with the coach he has committed and we explained him yesterday the situation and of course he would be ok with explaining the real version of everything too. We have his testimony too which in the legal process against your client we will use it. Also I wanted to add that he signed this contract reading it since the beginning knowing the company is stablished in Spain and he did the commitment voluntarily so we don't understand this situation at all why someone has everything so clear in a contract I created personally and wants to don't pay, this shows that he is not acting in god faith. My client had helped more than one thousand kids to go USA without any problem so this shows you they are only meeting the contract the client signed. Also I wanted to remark that we will start all legal process against your client on Monday 11 if we don't hear from you or from them to make the payment due on the contract. My client has explained your client how the legal process will go and we will not ask for the 2000 euros only we will ask for that and for the economic damages caused by the decision of your client to my client. The scouting agency has indulged in gross misrepresentation to induce me to say yes which we retracted within 4 working days after due diligence but much before any paperwork got started. The business soliciting email stated "...but he could reach a verbal agreement before it too but even with a verbal agreement you don't pay anything until you sign the contract with the university". That the scouting agency might have formal or informal contracts with the coach is not stated in the alleged contract given to us and, in any case, they having any type of contract with the coaches is illegal and the compliance departments of bodies like NCAA, NAIA will take action against such contracts. They struggled to arrange 3 interviews in several months after painting a rosy picture in their business soliciting emails by getting my email id through my minor son. With very less time remaining, paying non-refundable money upfront contrary to their Unique Selling Proposition of no upfront fees in their business soliciting email my son has lost his chance to play College Tennis. In this outcome based contract, we have not received any tangible output.

Hello again this is the attorney of Global College USA. My client has gave a deadline to pay until yesterday to your client and since he did not pay we have started all legal process. We will be preparing all documents proofs and legal processes this week and this will be presented on next monday to the competent authorities in USA and Spain. The case here is simple. - Your client has a contract with my client saying he has to pay when he decides the university and we start application process, he has decided the university and we started the application process, that decision was voluntarily and non forced, we have proves of it (messages on WhatsApp from your client) and we have testimony of the tennis coach who your client committed too. - Your client has decided to change his mind but it doesn't change the obligation to pay. - Your client has caused damages to my client due to his actuation My client is showing his good faith saying he will continue helping your client after he pay with no extra costs even your client has caused damages to my client and not to claim those economic damage if the client pays now, if not legally we will claim the debt plus economic damages
